NM Audio Terms & Conditions

These Terms & Conditions apply to voice-over, recording, audio production and related services provided by Nick Miller trading as NM Audio ("NM Audio", "we", "us" or "our").

By requesting a quote, confirming a booking, providing a script for recording, approving work or making payment, you agree to these Terms & Conditions unless alternative terms have been agreed in writing.

1. Quotes and Bookings

Quotes are based on the information provided at the time of enquiry, including the script, word count, intended usage, media, territory, campaign duration, recording requirements and delivery timeframe. If the scope of a project changes, NM Audio may revise the quote accordingly.

A booking is considered confirmed when NM Audio and the client have agreed to proceed in writing, including by email.

2. Voice-Over Fees

Depending on the project, fees may include recording or session fees, usage or licensing fees, broadcast fees, studio or directed-session fees, editing or production fees, additional versions or cut-downs, script changes or pickups, rush delivery and exclusivity fees.

Applicable fees will be outlined in the quote, invoice or written agreement.

3. Usage Licence

Unless otherwise expressly agreed in writing, payment for a voice-over recording grants the client a limited licence to use the final approved recording only for the agreed purpose, campaign, media, territory, audience and duration.

Payment does not automatically provide unlimited, perpetual or unrestricted rights to the recording or performance.

The underlying voice performance and associated rights remain with NM Audio unless an alternative arrangement has specifically been agreed in writing.

4. Additional or Extended Usage

Recordings must not be reused, materially repurposed, redistributed, resold, relicensed or used outside the originally agreed scope without prior written approval.

This includes extending a campaign beyond its agreed duration, using the recording in another territory, moving from organic content to paid advertising, adding television, radio, cinema or streaming usage, or using a recording for another brand, product or campaign.

Additional usage may attract an additional licensing fee.

5. Broadcast and Advertising Usage

Where a recording is used for advertising, broadcast media, paid digital advertising, sponsored social media, streaming or another commercial campaign, usage fees may be based on the media type, territory, campaign duration, audience, advertising spend, product category and any exclusivity requirements.

Any extension to the agreed usage must be approved before that additional use takes place.

6. Copyright

Unless otherwise agreed in writing, voice recordings, performances, demos, audio samples, website content and other original materials created by NM Audio remain protected by applicable copyright laws.

The client receives only the usage rights expressly agreed for the relevant project. All rights not expressly granted are reserved.

7. AI, Voice Cloning & Synthetic Voice

No recording, performance, demo, voice sample or audio featuring Nick Miller's voice may be used to train, develop, test, improve or operate artificial intelligence systems, machine-learning models, voice-cloning technology, synthetic voice systems, speech synthesis, text-to-speech systems or digital replica technology without NM Audio's express prior written consent.

Recordings must not be uploaded to any platform or service for the purpose of creating a digital replica, synthetic reproduction, cloned voice, derived voice model or simulated performance of Nick Miller's voice.

Permission to use a recording in a campaign, advertisement, production, corporate project or other agreed application does not constitute permission to use that recording for AI training, voice cloning or synthetic reproduction.

The client must not knowingly provide or permit a third party to use the recording for these purposes.

Any permitted AI, synthetic voice or voice-cloning arrangement requires a separate written agreement specifically outlining the permitted technology, purpose, scope, usage, duration and compensation.

8. Website Demos and Audio Samples

Voice demos and audio samples made available on nmaudio.com.au are provided for professional evaluation and promotional purposes only.

They may not be copied, redistributed, republished, commercially exploited or incorporated into another production without permission. They must not be used for AI training, machine learning, voice cloning, speech synthesis or the creation of synthetic or derivative voices.

9. Scripts

The client is responsible for supplying the final approved script and for providing pronunciation guidance for unusual names, brands, acronyms, foreign words, technical terminology or other potentially ambiguous content where appropriate.

NM Audio reserves the right to decline material that is unlawful, defamatory, fraudulent or otherwise reasonably considered inappropriate.

10. Revisions and Pickups

If NM Audio makes an error by failing to follow the approved script or agreed direction, the affected material will be corrected without an additional recording fee.

Changes resulting from alterations to the script, creative direction, pronunciation requirements, timing, emphasis or project scope after recording may attract additional charges. Significant changes may be treated as a new recording session.

11. Directed Sessions

Where requested, recording sessions may be conducted remotely using an agreed conferencing or remote-direction platform.

Clients are responsible for ensuring relevant producers, directors or stakeholders are available at the agreed session time. Additional studio time caused by delays or significant extensions may attract an additional charge.

12. Delivery

Audio will usually be supplied electronically in the file format agreed for the project.

NM Audio will make reasonable efforts to meet agreed delivery dates and turnaround times but is not responsible for delays caused by circumstances outside its reasonable control.

13. Payment

Payment terms will be stated on the applicable quote or invoice. Unless otherwise agreed, payment is due within the timeframe shown on the invoice.

For new clients, substantial projects or certain recording sessions, NM Audio may require a deposit or payment before final delivery. Any rights granted under these Terms are subject to payment of the applicable fees.

14. Cancellation

If a confirmed project or recording session is cancelled after work has commenced, or after studio time has been reserved, reasonable charges may apply for work already completed and costs already incurred.

15. Client-Supplied Material

The client confirms that it has the necessary rights and permissions to provide any scripts, music, video, trademarks, reference material or other content supplied to NM Audio.

The client remains responsible for the accuracy, legality and claims contained in material it supplies.

16. Portfolio and Promotional Use

Unless confidentiality has been agreed, NM Audio may identify publicly released work as part of its professional portfolio, showreel, website, social media or promotional material once the work or campaign has been made public.

Confidential, unreleased or embargoed material will not knowingly be published before its authorised release.

17. Confidentiality

NM Audio will take reasonable steps to keep confidential scripts, campaign details and other non-public information supplied for a project. Where additional confidentiality is required, NM Audio may enter into a separate confidentiality agreement or NDA.

18. Website Content

All original text, branding, graphics, recordings and other content appearing on nmaudio.com.au remain the property of NM Audio or their respective rights holders unless otherwise stated.

Website content may not be reproduced, distributed or commercially exploited without permission except where permitted by law.

19. Third-Party Services

nmaudio.com.au may contain links to third-party websites, booking platforms, payment providers, social networks or other external services. NM Audio does not control those services and is not responsible for their content, availability, privacy practices or terms.

20. Liability

Nothing in these Terms & Conditions excludes, restricts or modifies any right, guarantee or remedy that cannot lawfully be excluded under Australian law.

To the extent permitted by law, NM Audio is not responsible for indirect or consequential loss arising from a client's use of a recording outside the agreed scope or from circumstances outside NM Audio's reasonable control.

21. Australian Consumer Law

Nothing in these Terms & Conditions is intended to exclude, restrict or modify any guarantee, right or remedy available under the Australian Consumer Law or other applicable legislation where those rights cannot legally be excluded.

22. Changes to These Terms

NM Audio may update these Terms & Conditions from time to time. The Terms applying to a particular project will generally be those in effect when the booking is confirmed unless NM Audio and the client agree otherwise in writing.

23. Governing Law

These Terms & Conditions are governed by the laws of South Australia, Australia. The parties submit to the jurisdiction of the courts of South Australia and applicable Commonwealth courts.
